    Please read these terms carefully before using WAYG services.

    Welcome to WAYG ("Company," "we," "our," or "us"), WAYG INC, a Wyoming corporation with offices in Coral Gables, Florida, delivering bookkeeping, tax, payroll, and advisory services remotely and from our office in Coral Gables, Florida. These Terms of Service ("Terms") govern your use of our services and our website at wayg.co.

    Effective July 1, 2026. These Terms supersede all prior versions. By engaging our services or continuing to use them after the effective date, you agree to be bound by these Terms.

    IRS Circular 230 Disclosure

    To ensure compliance with requirements imposed by the IRS, we inform you that any U.S. federal tax advice contained in this communication (including any attachments) is not intended or written to be used, and cannot be used, for the purpose of (i) avoiding penalties under the Internal Revenue Code or (ii) promoting, marketing, or recommending to another party any transaction or matter addressed herein.

    This disclosure is required by IRS Circular 230 and applies to all tax advice provided by our firm unless specifically stated otherwise in a formal tax opinion letter.

    1. Acceptance of Terms

    By accessing our website, engaging our services, or signing an engagement letter, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our services.

    You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.

    2. Description of Services

    • Monthly bookkeeping and financial close packages
    • Individual and business tax preparation and filing
    • Tax planning, strategy, and R&D / tax credit studies
    • Payroll processing and multi-state compliance
    • Fractional CFO and advisory services
    • KPI dashboards and management reporting
    • IRS and state notice response, transcript retrieval, and response packages
    • Sales tax and entity structuring consulting
    • Business entity formation and compliance
    • À la carte filings and one-time engagements

    Beneficial Ownership Information (BOI) reporting is offered as an add-on where still required by applicable federal or state law. The specific scope of services for each client relationship will be defined in a separate engagement letter or service agreement.

    Representation. WAYG prepares and files returns, pulls transcripts, and builds the financial package behind a notice or examination. Representation before the IRS or a state tax authority is coordinated through contracted Enrolled Agents and CPAs under a signed engagement letter, at your request, and is not included in a subscription plan unless the engagement letter says so.

    3. Professional Standards

    Our services are performed in accordance with:

    • IRS Circular 230, the regulations governing practice before the Internal Revenue Service
    • Generally Accepted Accounting Principles (GAAP), for financial reporting and bookkeeping
    • IRS Publication 4557 and the FTC Safeguards Rule, for the handling and protection of client information
    • IRC Section 7216, for the use and disclosure of tax return information

    WAYG is not a CPA firm. We are not licensed by the Florida Board of Accountancy and we are not an AICPA member firm, so the AICPA Code of Professional Conduct and the Board's rules do not govern our work. Returns are prepared and signed in house by an IRS registered tax preparer. We do not audit, review, or compile financial statements. Where an engagement calls for credentialed work, we coordinate it through contracted Enrolled Agents and CPAs under a signed engagement letter, at your request.

    4. Client Responsibilities

    As our client, you agree to:

    • Provide complete, accurate, and timely information and documentation
    • Use our secure client portal (currently Assembly, migrating from Canopy) to exchange documents and messages
    • Review all documents, returns, and reports before signing or filing
    • Respond promptly to requests for additional information
    • Notify us of any changes in your financial situation, entity structure, or ownership
    • Maintain your own copies of source documents for at least seven (7) years
    • Pay all fees in accordance with agreed terms
    • Comply with all applicable tax filing and payment deadlines
    • Forward IRS or state tax notices to us within five (5) business days of receipt

    You are responsible for the accuracy and completeness of information you provide. We rely on this information to provide our services and are not required to independently verify it.

    5. Fees and Payment Terms

    Plans: WAYG offers subscription plans (Core, Advisory, and Executive) plus à la carte engagements. Fees are communicated in writing before services begin.

    Billing: Subscriptions are billed monthly in advance. Payments are processed by Stripe, Inc., and your client portal is Assembly (Portal Technologies, Inc.). Monthly billing is the only billing cycle we offer. À la carte engagements are invoiced upon acceptance of scope.

    Payment methods: ACH is preferred. Credit and debit cards are accepted and may include a processing surcharge of up to 3%, disclosed at checkout.

    Trial window: New subscriptions include a fourteen (14) day cancellation window from the initial charge for a full refund of the first month's subscription fee. À la carte work already completed during the trial window is invoiced separately.

    Refunds after trial: After the trial window, cancellations take effect at the end of the current billing cycle. Refunds are pro-rata only for unused service days where work has not yet been performed. See our Return Policy for details.

    Late payments: Accounts past due by more than 30 days may be subject to interest at 1.5% per month (18% annually) and suspension of services until brought current.

    6. Electronic Communications & E-Signature Consent

    By engaging WAYG, you consent to receive engagement letters, tax returns, notices, invoices, and other records electronically, and to sign such documents using electronic signature under the federal E-SIGN Act and the Uniform Electronic Transactions Act (UETA).

    You may withdraw this consent at any time by contacting hello@wayg.co. Withdrawal is prospective only and does not affect the validity of previously executed electronic records. If you withdraw consent, additional fees may apply for paper delivery and wet-signature handling.

    7. AI-Assisted Services Disclosure

    WAYG uses artificial intelligence tools, including our "Gia" assistant on wayg.co and internal AI-assisted workflows, to accelerate research, drafting, document classification, and data extraction. AI outputs are used as inputs to human work product.

    Professional review: All tax returns, financial statements, advisory memos, and other client deliverables are reviewed by a qualified human professional before release.

    Data handling: Client data is not used to train third-party foundation models. Where AI providers are used, they operate under enterprise agreements that prohibit training on our inputs.

    Chat logging: Conversations with Gia and other AI surfaces may be logged for quality, compliance, and product improvement, subject to our Privacy Policy.

    8. Third-Party Services

    To deliver our services, WAYG relies on third-party platforms including, without limitation: Assembly (client portal and secure document exchange), Stripe (payment processing), Canopy (legacy client portal, being migrated), QuickBooks Online and Xero (accounting), ADP (payroll), Google Workspace (communications), and our cloud infrastructure providers.

    Your use of these third-party platforms is subject to their own terms and privacy policies. WAYG is not liable for third-party outages, data loss, or changes in features, but we will provide reasonable workarounds and communicate material service impacts promptly.

    9. Confidentiality

    We maintain strict confidentiality of all client information in accordance with professional ethics rules and applicable privacy laws. We will not disclose your confidential information to third parties without your consent, except as required by law or professional standards. Any use of your name, logo, or likeness in referrals, testimonials, or case studies requires your prior written consent. See our Privacy Policy for details.

    10. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO OUR SERVICES SHALL BE LIMITED TO THE FEES ACTUALLY PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

    WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    11. Disclaimer of Warranties

    • We do not guarantee specific tax outcomes, refund amounts, or audit results
    • Tax laws are subject to interpretation and may change
    • Past results do not guarantee future performance
    • Our services are provided "as is" without warranties of any kind
    • We are not responsible for errors resulting from inaccurate or incomplete client information

    12. Indemnification

    You agree to indemnify, defend, and hold harmless WAYG, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses arising out of: (a) your breach of these Terms; (b) your provision of inaccurate or incomplete information; (c) your violation of any applicable law; or (d) any third-party claim related to your use of our services.

    13. Data Security & Breach Notification

    WAYG maintains a Written Information Security Program (WISP) aligned with IRS Publication 4557 and the FTC Safeguards Rule. Safeguards include encryption of data in transit, multi-factor authentication for all staff accounts, least-privilege access controls, and vendor due diligence.

    In the event of a confirmed security incident that affects your personal information, we will notify you without undue delay and, where feasible, within seventy-two (72) hours of confirmation, in accordance with applicable state and federal breach notification laws.

    14. Governing Law and Dispute Resolution

    Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

    Informal Resolution: Before initiating formal proceedings, parties agree to attempt resolution through good faith negotiation for at least 30 days.

    Mediation: If negotiation fails, disputes will be submitted to mediation with a mutually agreed mediator in Miami-Dade County, Florida.

    Binding Arbitration: If mediation fails, disputes will be resolved through binding arbitration under the American Arbitration Association Commercial Rules. The arbitrator's decision is final and binding.

    Arbitration Opt-Out: New clients may opt out of the binding arbitration and class-action waiver provisions by sending written notice to hello@wayg.co within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

    Venue: Any litigation shall be brought exclusively in state or federal courts located in Miami-Dade County, Florida.

    Class Action Waiver: Except where opted out as described above, you agree to resolve disputes individually and waive any right to participate in a class action lawsuit.

    15. Termination

    Either party may terminate the engagement upon thirty (30) days' written notice. Upon termination, you remain responsible for payment of all fees for services rendered through the date of termination.

    Transition package: Within fifteen (15) business days of receipt of final payment, WAYG will deliver a transition package including the most recent completed close, your chart of accounts, source documents in our possession, and, where applicable, filed returns for the current engagement year, enabling a clean handoff to a successor provider.

    16. Changes to These Terms

    We reserve the right to modify these Terms at any time. Material changes will be communicated to active subscribers by email at least thirty (30) days before they take effect, and posted on our website with an updated "Effective" date. Your continued use of our services after the effective date of changes constitutes acceptance of the modified Terms.
